RESOLUTION NO. 96-022 WHEREAS, the Seventh Mountain County Service District (District) was formed and a sewage treatment facility constructed to provide sewer service for the residents of the Inn of the Seventh Mountain; and WHEREAS, the Inn of the Seventh Mountain is now connected to the City of Bend sewer system; and WHEREAS, the District and the sewage treatment facility are no longer needed by the residents of the Inn of the Seventh Mountain; and WHEREAS, the District sewage treatment facility was decommissioned by the State Department of Environmental Quality; and WHEREAS, ORS 198.920 requires that the District Board make certain findings of fact and propose a plan for dissolution and liquidation; now, therefore BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF DESCHUTES COUNTY, OREGON, ACTING AS THE GOVERNING BODY OF THE SEVENTH MOUNTAIN COUNTY SERVICE DISTRICT, as follows: Section 1. It is in the best interest of the inhabitants of the District that the District be dissolved and liquidated. Section 2. Pursuant to ORS 198.925(1) the District Board makes the findings of fact contained in Exhibit 1, attached hereto and by this reference incorporated herein. Section 3. Pursuant to ORS 198.925(2) the District Board proposes the plan of dissolution and liquidation contained in Exhibit 2, attached hereto and by this reference incorporated herein. Section 4. NIPPER, eoifimissioner Exhibit 1 (to Resolution No. 96-022) EXHIBIT Page I 0149-p, With respect to the proposed dissolution of the Seventh Mountain County Service District (District), the District Board makes the following findings of fact pursuant to ORS 198.925(1): (a) The District retains no outstanding bonds, coupons or other forms of indebtedness. However, for purposes of dissolution of the District, the need to fill, dismantle and otherwise make safe District infrastructure remaining at the District sewage treatment facility shall constitute an indebtedness of the District. This indebtedness is more clearly defined and addressed by the Agreement executed by District and the Inn of the 7th Mountain Association of Unit owners. (b) The District neither owns nor retains any interest in real property. (c) There are no uncollected taxes, assessments or charges that were levied by the District. (d) Following is a list of the District's remaining assets including personal property: 1. approximately $8,400.00 remaining in the District's account which is administered by the Deschutes County Treasurer 2. miscellaneous laboratory equipment as described in the letter from Michael J. Cherniak of Environmental Training Consultants, Inc., dated November 13, 1992, attached hereto as Exhibit lA and incorporated herein 3. sewage treatment facility infrastructure no longer in use including, but not limited to: - sewage treatment vats - concrete holding pond - all related fittings, structures, valves, pipes, grates, hand rails, etc. - Lakeside Equipment Corp. sludge screw pump - Reliance Electric submersible pumps - Fast Response generator - Kohler generator - Electro Magic pressure sprayer - chain link fencing 4. sewage treatment facility infrastructure currently in use including, but not limited to: lift stations EXHIBIT pumps, pumps, filters, housings and all related fittings, structures, valves, etc. pipes, lines and conduits (e) As no election will be required to consider the dissolution of the District, there are no costs associated with the process of dissolution. However, he made a good suggestion to Bruce that perhaps the Inn consider using it as an alternate power source for the Covention Center and/or restaurants in the event of a power outage. February 7, 1996 District Board adopts Resolution No. 96-022 declaring dissolution in the best interest of the District, making required findings of fact, adopting a plan for dissolution and liquidation, and appointing the Board of County Commissioners for Deschutes County (County Board) as the Board of Trustees for the District following dissolution. 2. February 21, 1996 District Board and Inn of the 7th Mountain Association of Unit Owners (AUO) execute Agreement to establish terms and conditions for making the District sewage treatment facility safe (the project) prior to dissolution. 3. February 21, 1996 Required findings of fact and plan for dissolution and liquidation filed with Deschutes County Clerk. 4. February 21, 1996 - April 30, 1996 Completion of Project according to District/AUO Agreement. 5. May 1, 1996 County Board adopts Resolution No. 96-023 declaring an absence of public need for continuation of the District, declaring the District dissolved and accepting the role of Board of Trustees for the dissolved District. 6. May 1 - May 15, 1996 Board of Trustees winds up affairs of District - approximately $8,400.00 remaining in District account payed to AUO as reimbursement - all remaining District property turned over to AUO - District accounts closed - District books and records deposited with County Clerk 7. May 15, 1996 County Board adopts Resolution No. 96-024 declaring the affairs of the District fully settled and declaring the corporate existence of the District terminated. ** Timelines are estimates only.
