BEFORE THE BOARD OF COUNTY COMMISSIONERS OF DESCHUTES COUNTY, OREGON
An Order Authorizing the Closing of Property
Purchased from Midstate Electric ORDER NO. 2004-018
Cooperative, Inc.
WHEREAS, certain real property described in Exhibit A, attached hereto by this reference
incorporated herein, is the subject of an earnest money agreement (agreement) between the
Deschutes County as purchaser and Midstate Electric Cooperative, Inc., as seller, which agreement
has previously been approved by the Board and the seller; and
WHEREAS, the terms of the earnest money agreement provide for the seller to lease back
certain of the improvements on the property and for the parties to close the transaction in escrow; and
WHEREAS, the parties are prepared to conclude the transaction; now, therefore,
THE BOARD OF COUNTY COMMISSIONERS OF DESCHUTES COUNTY, OREGON,
HEREBY ORDERS as follows:
Section 1. The Commissioner Luke is authorized on behalf of the County to execute any and
all documents necessary to complete the purchase and lease back of the property in accordance with
the approved earnest money agreement and subject to legal review.

LEGAL DESCRIPTION
PARCEL 1:
All of Blocks Twenty-four (24), Thirty-six (36) and Thirty-seven (37) and all of Blocks
Nine (9) and Twenty-three (23), LAPINE, lying Easterly of the Dalles-California
Highway, Deschutes County, Oregon. EXCEPTING THEREFROM the following described parcel:
That portion of the Northeast One Quarter of the Southeast One Quarter (NE1/4 SE1/4) of
Section Fifteen (15), Township Twenty-two (22) South, Range Ten (10) East of the
Willamette Meridian, Deschutes County, Oregon, and more particularly described as
follows:
Beginning at a point, a 5 X 30" plastic-capped steel rod set along the East Line of
Section Fifteen (15), from which the South 1116 corner thereof bears South 00011'58"
West, 528.24 feet; thence North 79005135" West, 61.12 feet to a point; thence North
30015127" East 119.90 feet to a point along said East Section Line; thence along said
East Section Line, South 00011158" West, 115.14 feet to the Point of Beginning.
TOGETHER WITH those portions of vacated streets and alleys which inured to said lots by
vacation order dated March 5, 1971 in Book 14, Page 548 Commissioners Journal,
Deschutes County, Oregon.

the Willamette Meridian, Deschutes County, Oregon, lying Easterly of the Easterly Right
of Way Line of the Dallas-California Highway, and Southerly of the following described
line:
Beginning at a point that is South 0011158" West, a distance of 282.19 feet from the
Quarter Section Corner between Sections Fourteen (14) and Fifteen (15); thence South
0011158" West, a distance of 368.0 feet; thence South 30026'00" West, a distance of
182.1 feet to the True Point of Beginning of the herein described line; thence North
79000' West, a distance of 3456.63 feet to a point on the Easterly Right of Way Line of
the Dalles-California Highway and the terminus of said line. Excepting therefrom the
Plat of LAPINE.
