WHEREAS, Central Oregon Project Energy has a necessity to
enter into short term Personal Services Contracts in amounts less
than $1,000.00 per contract for the provision of professional and
personal services in conjunction with the project; and
WHEREAS, a form of agreement for such personal services has
been reviewed by the Board of County Commissioners; and
WHEREAS, Betsy Shay, Director, Central Oregon Project
Energy, is charged with the responsibility of managing the Project;
and
WHEREAS, from time to time professional and personal
services are necessary for the proper management of the Project; and
WHEREAS, the Board of County Commissioners of Deschutes
County, Oregon, has confidence in the ability of Betsy Shay to
properly administer Personal Service Contracts in amounts less than
$1,000.00; now, therefore,
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF
DESCHUTES COUNTY, OREGON, as follows:
Section 1. That Betsy Shay be authorized to sign Personal
Service Contracts for Central Oregon Project Energy in amounts less
tan $1,000.00 per contract, provided, such expenditures are budgeted
within the Project budgets

PERSONAL SERVICES CONTRACT
(CENTRAL OREGON PROJECT ENERGY)

This Agreement, made and entered into this
, 1982, by and between Deschutes County, a
Subdivision of the State of Oregon, Central Oregon Project
hereinafter referred to as "County", and
hereinafter referred to as "Contractor",
WITNESSETH:

WHEREAS, Central Oregon Project Energy, an energy study
funded by the Bonneville Power Administration and administered by
County, is developing a thermal effeciency rating system for
application to Deschutes County dwellings; and
WHEREAS, as part of the development of this program,
Central Oregon Project Energy needs the services of a consultant who
is familiar with the thermal requirements of Deschutes County houses
and rating systems, and furthermore has access to computer
facilities; and
WHEREAS, Contractor is qualified to review existing thermal
rating systems for their applicability to local structures and
climatic conditions; now, therefore,
IT IS HEREBY AGREED by and between the parties
above-mentioned, for and in consideration of the mutual promises
hereinafter stated as follows:

3. Contractor's Services. Contractor agrees to furnish
all labor and equipment necessary to perform the services described
as a review to determine the effect on residential heating
requirements in Central Oregon from a variety of energy conserving
and solar energy technologies (e.g., additional insulation, storm
windows, trombe walls, solar greenhouses) in a workmanlike manner.
Additionally, the Contractor will make a preliminary assessment of
the effect on heating requirements of orienting a house built to
building code requirements toward the south, and placing living room
rooms and kitchen/dining areas to the south, and bedrooms and
bathrooms to the north.
4. Contractor Materials. Contractor agrees to furnish all
materials and equipment with respect to said services.

5. Consideration. County shall pay Contractor for work
performed at a rate of $21.00 per hour, said rate to be the complete
compensation to contractor for services performed.
6. Termination. This Agreement may be terminated by
County upon fourteen (14) days written notice to contractor.
7. Insurance. Contractor shall maintain comprehensive
liability and property damage insurance on all equipment and
personnel performing services under this Agreement, in not less that
the statutory limits of $50,000.00, $100,000.00, and $300,000.00
naming County as co-insured.
8. Independent Contractor. Contractor shall perform all
work as an independent contractor, and not as an employee of the
County.
9. Worker's Compensation. Contractor agrees to execute a
guarantee contract with the Worker's Compensation Department and
maintain at all times Worker's Compensation coverage for himself and
any employees of Contractor in the execution of this Agreement.
10. Hold Harmless. Contractor shall be responsible for
any and all injury to any and all persons or property caused directly
or indirectly by reason of any and all activities by Contractor in
the performance of this Agreement; and further agrees to indemnify
and save harmless the County, its officers, agents and employees from
and against all claims, suits, actions, damages, costs, losses and
expenses in any manner resulting from, arising out of, or connected
with any such injury.
11. Non -Discrimination. Contractor agrees that no person
shall, on the grounds of race, color, creed, national origin, sex,
marital status, or age, suffer discrimination in the performance of
this Agreement when employed by Contractor.
