BOARD OF COUNTY COMMISSIONERS OF DESCHUTES COUNTY, OREGON ROBERT' , •r r:4-006*19 f TAMMY J.IC RD ON Recording ecretary RESOLUTION NO. 80-214, PAGE 1 VOL 6PAGE 157 AGREEMENT TH AGREEMENT, made and entered into this/* -V ► day of , 1980, by and between DESCHUTES COUNTY, OREGON, a po itical subdivision of the State of Oregon, hereinafter referred to as "County," and RESORT BUS LINE, INC., an Oregon corporation, hereinafter referred to as "Resort," witnesseth: WHEREAS, County desires to participate in a program of public transportation with the County as a service to County citizens and residents; and WHEREAS, County desires to have this service provided on a regular and efficient basis; and WHEREAS, Resort is a.duly licensed carrier licensed by the Public Utilities Commission of the State of Oregon to operate scheduled routes as set forth in this contract; now, therefore, IT IS HEREBY AGREED by and between the parties above mentioned for and in consideration of the mutual promises herein- after stated, as follows: 1. Effective Date. This Agreement is effective July 1, 1980. 2. Duration. The duration of this agreement is twelve months, terminating at 11:59 p.m. on June 30, 1.981. 3. Routes and Service. Resort shall provide bus service seven (7) days per week, :00 a.m. to 6:30 p.m.; said bus service shall be over such routes, at such times and with such stops as set forth in the routes and time schedules as shown in Exhibit A, attached hereto and by this reference incorporated herein. Provided, however, that said routes, schedules, and stops may be changed by mutual agreement of the parties hereto, but in no event shall the bus schedules, routes and stops provide less service to the citizens and residents of the County than those routes, schedules and stops set out in Exhibit A. 4. Equipment and Drivers. Resort shall furnish all equipment, fuel, insurance, and maintenance necessary to provide the service set forth in Exhibit A and necessary by reason of this Agreement. Resort shall use buses with capacity of not less than 35 persons unless ridership on any route dictates the use of a bus of less capacity. 5. Passenger Count and Reports. Resort shall count and record the number of passengers by location, time and route utilizing the bus service, and shall file the daily tallies of such counts on forms provided by the County with monthly totals in aggregate and average for each route and location. The aggregate volume of freight business shall also be listed by location and route. I AGREEMENT, PAGE 1 VOL 36PAGE 1.610 6. Fares. Resort shall collect all fares for service under this Agreement. Fares shall be set by the Public Utility Commissioner, State of Oregon. 7. Records. Resort shall maintain adequate accounting records, that sha be open for the inspection by County or its agent at any reasonable time during business hours, to reflect the income, expenses of operation, and the expenses of administration of Resort. In addition, Resort shall maintain adequate records to account for the prorata amount of income, expenses of operation, and expenses of administration relating to this Agreement. Resort agrees that any general expense of Resort shall only be shown as an expense under this Agreement in proportion that the expense re- lates to the provision of services under this Agreement. 8. Consideration. County shall pay Resort an aggregate contract amount not to exceed $9.615.00, consisting of monthly pay- ments consisting of one-half of the net operating deficit incurred during the month plus eighty percent (80%) of the administrative deficit incurred during the month, as approved by the County, pro- vided, money for this purpose and in this amount has been received by County from the State of Oregon. If at any time during the period of this Agreement, County shall have paid to Resort a total of $9,615.00 for approved requests for payment, County shall have no further liability for payments to Resort. Payments shall be made by County upon receipt of reports and records which establish Resort's entitlement to payment under the provisions of this section. 9. Non -Eligible Items. Items of revenue and expense shall consist only of those items listed in County's application for an Oregon Department of Transportaton grant, and, in no event shall Resort request payment of expenses in excess of the expenses contained therein. A copy of this application, marked Exhibit B, is attached hereto and by this reference incorporated herein. 10. Billing. Resort shall bill County at the end of each calendar month. In the event the County has paid to Resort the sum of $9,615.00, Resort need not bill County for any operating or administrative deficits. County retains the right to disallow any or all expenses for which County has been billed. 11. Routes. Resort agrees not to deviate from the routes shown in Schedule A, except in emergency road and weather conditions. 12. Schedule to be Followed. Resort agrees to make all stops at the time listed on the schedule shown in Exhibit A, and agrees not to leave a designated stop prior to the time listed in the schedule shown in Exhibit A. Failure to adhere to the time schedule shall be deemed to be a material breach of the terms and conditions of this Agreement. AGREEMENT, PAGE 2 . DIOL 36PAGE 1.Z9 13. Bus Stops. The exact location of all bus stops shall be established by mutual agreement of the parties, and shall be subject to modification by the.mutual consent of the parties. 14. Signs and Brackets. Resort shall display signs on each bus operating under this Agreement, provided by County, identifying the Deschutes County Transit System. 15. P.U.C. Notification. Resort shall comply with all rules, regulations and laws administered by the Public Utilities Commissioner of the State of Oregon. 16. Contingency. It is understood and agreed that circumstances may arise that are unforeseen on the effective date of this Agreement. Therefore, if a change of circumstances materially affects either party's ability to perform this Agreement, said party, upon making such determination, may terminate this Agreement by giving notice thereof in writing at least 30 days prior to the date this Agreement is to be terminated. 17. Nondiscrimination. Resort agrees that no person shall on the grounds of race, color, creed, national origin, sex or age be excluded from participation in, or denied the benefits of, or be subject to discrimination while using the service under this Agreement provided by Resort or in employment by Resort. 18. Insurance. Resort shall maintain comprehensive liability and property damage insurance on all buses, vehicles and personnel performing services under this agreement of not less than $100,000 per person, $300,000 per occurrence for personal injury, and $50,000 per occurrence of property damage, naming County as co-insured. 19. Hold Harmless. Resort shall be responsible for any and all injury to any person or property caused directly or indirectly by reason of any and all activities by Resort in the performance of this Agreement, and further agrees to indemnify and save harmless the County, its officer, agents and employees from and against all claims, suits, actions, damages, costs, losses and expenses in any manner resulting from, arising out of, or connected with any such injury. 20. Attorney's Fees. In the event of action or suit or proceeding, including appeal therefrom, is brought for failure to observe any of the terms of this Agreement, County shall be entitled to recover in addition to other sums or performance due under this Agreement, reasonable attorney's fees as the court may adjudge in said action, suit, proceeding.or appeal. 21. Management Audit. Resort shall cooperate with the Public Transit Division, Oregon Department of Transportation, in every respect with any pre -grant award audit of financial and operating records and management, including any premises or equip- ment provided under the terms of this Agreement. This agreement is the entire, final and complete agreement of the parties and supersedes and replaces all written and oral agreements heretofore made or exist- ing by and between the parties and their representatives. Resort Bus Lines will stop at the Trailways Depot in Bend. Schedules between Resort Bus Lines and Trailways have been coordinated on some schedules. This will allow direct transit access to Sun River from Portland. 4.
