Deschutes County Board of Commissioners 1130 NW Harriman St., Bend, OR 97701-1947 (541) 388-6570 - Fax (541) 388-4752 - www.deschutes.org MINUTES OF SPECIAL MEETING DESCHUTES COUNTY BOARD OF COMMISSIONERS MONDAY, MAY 249 2004 Commissioners' Meeting Room - Administration Building - 1130 NW Harriman St., Bend Present were Commissioners Michael M. Daly, Dennis R. Luke and Tom DeWolf. Also present was Laurie Craghead, Legal Counsel; Nancy Stewart and Jim Palmer, Humane Society of Central Oregon; and media representatives Chris Barker of the Bulletin and Barney Lerten of bend.com and The Bugle. No other citizens were present. The meeting began at 11:00 a.m. Laurie Craghead gave an overview of the transfer of property to the Humane Society. The reversionary clause previously agreed upon by the Commissioners was for twenty years, regardless of the contract for services for the County. Commissioners Luke and DeWolf had indicated concern that the reversionary clause was not shown in perpetuity. Commissioner Daly stated that in his opinion a deal is a deal, and the Commissioners should stand behind their previous decision. He reminded the other Commissioners that these volunteers provide a valuable service to the community, and have worked very hard to reach fund- raising goals for a new facility. Nancy Stewart explained to the Board that fund-raising and the loan provided to the Humane Society were done on the basis of a twenty-year reversionary clause. It would be awkward at this point to go back to the lender and those who donated with a change in the status of the reversionary clause. They had proceeded on the basis that the Board previously approved the twenty-year reversionary clause. Minutes of Special Meeting Monday, May 24, 2004 Page 1 of 2 Pages After a lengthy discussion, the Commissioners stated that in the future they want the County's position on actions such as this to be that any reversionary clause be in perpetuity. DEWOLF: Move approval of the deed, including a twenty-year reversionary clause. LUKE: Second. VOTE: DEWOLF: Yes. LUKE: Yes. DALY: Chair votes yes.
