2021-292-Order No. 2021-032 Recorded 7/2/2021REVIEWED QW M LEGAL COUNSEL i Recorded in Deschutes County Nancy Blankenship, County Clerk Commissioners' Journal 2021-292 CJ2021-292 07/02/2021 3:58:05 PM BEFORE THE BOARD OF COUNTY COMMISSIONERS OF DESCHUTES COUNTY, OREGON An Order Designating Kristie Bollinger, the Deschutes County Property Manager, as the Deschutes County Representative for the Purpose of Signing Documentation for the Sale of Deschutes County Owned Property Located at 16617 Dillon Way and 16613 Dillon Way, La Pine, Oregon 97739 * ORDER NO. 2021-032 WHEREAS, the Board of County Commissioners of Deschutes County has authorized the sale of property located at 16617 Dillon Way and 16613 Dillon Way, La Pine, Oregon 97739 to Central Oregon Excursions, LLC; and WHEREAS, Deschutes County received an offer from Central Oregon Excursions, LLC to purchase the two properties (Purchase and Sale Agreement) for Fifteen Thousand Seven Hundred Fifty ($15,750) Dollars per property for a total of Thirty One Thousand Five Hundred ($31,500) Dollars, subject to a due diligence period scheduled to expire in Sixty (60) Days from the date the PSA is executed; and WHEREAS, Central Oregon Excursions, has paid Four Thousand ($4,000) Dollars Earnest Money that will be applied to the purchase price at closing; and WHEREAS, the transaction closing is projected to occur within Thirty Five (35) Days after the due diligence period or from when Central Oregon Excursions, LLC removes contingencies, at which time documents necessary to conclude the transaction need to be signed on behalf of Deschutes County as the seller; now, THEREFORE, THE BOARD OF COUNTY COMMISSIONERS OF DESCHUTES COUNTY, OREGON, HEREBY ORDERS as follows: Section 1. RECOMMENDATION & ACTION REQUESTED: Staff recommends signature of Order No. 2021-032 authorizing the County's Property Manager to execute the documents associated with the sale of County -owned property located at 16617 Dillon Way and 16613 Dillon Way, La Pine. BACKGROUND AND POLICY IMPLICATIONS: Deschutes County owns property in the Newberry Business Park known as Map and Tax Lot 221014AB00162 located at 16613 Dillon Way and Map and Tax Lot 221014AB00163 located at 16617 Dillon Way, La Pine. The Tax Lots are each 0.21-acres and the Real Market Value (RMV) by the Assessor's Office is $23,920 per lot. In 2019, the County and City of La Pine entered into an Intergovernmental Agreement (IGA) that provides the City full power and authority for the marketing, promotion and sale negotiations for County -owned property located in the industrial area (La Pine Industrial, Newberry Business Park and Finley Butte Industrial Park) for the purpose of economic development. The IGA provides for a 50/50 split of gross proceeds from sales. The Economic Development of Central Oregon/Sunriver La Pine Economic Development (ECDO/SLED) works closely with the City, County and business owners to help bring business opportunities to fruition. With assistance by EDCO, Central Oregon Excursions, LLC (purchaser) has made an offer to purchase the two described Tax Lots. Their business model currently consists of offering a wide variety of outdoor activities including off -road adventures and snowmobile rentals based at Elk Lake Resort. The property acquisition will provide for expansion of their business to include the development of a 1,728 square foot building ultimately supporting operations and maintenance for 6-staff. See attached letter from EDCO for additional information. Highlights of the offer includes, 1. Purchase price of $15,750 per lot for a total of $31,500 (equates to $75,000/acre) 2. $4,000 refundable earnest money (becomes non-refundable after purchaser removes contingency) 3. 60-day (calendar) contingency/due diligence period 4. Closing to occur within 35-days (calendar) after purchaser accepts the condition of property FISCAL IMPLICATIONS: Proceeds from the property sale totaling $31,500 will be split between the County and the City of La Pine per the terms of the IGA.
