BACKGROUND AND POLICY IMPLICATIONS:
Partners In Care, Inc. proposes to exchange a 1.14 acre parcel in the vicinity of NE Connors Dr. and
27 th Ave. for a 1.14 acre parcel owned by Deschutes County on NW Courtney Dr. The Partners in Care
parcel was independently appraised at $470,000 in November 2013. The County parcel was appraised
at $445,000 on the same date. No additional funds or consideration is to be exchanged (a straight
across exchange).
FISCAL IMPLICATIONS:
None.
RECOMMENDATION & ACTION REQUESTED:
Pass Resolution 2014-003 declaring the intention to exchange real property.

BEFORE THE BOARD OF COUNTY COMMISSIONERS OF DESCHUTES COUNTY, OREGON
A Resolution Declaring the Intention of *
Deschutes County to Exchange Real Property * RESOLUTION NO. 2014-003
with Partners in Care, Setting Hearing Date *
for the Purpose of Hearing Objections, and *
Providing Notice. *
WHEREAS, Deschutes County Code Chapter 11.08 provides that the Board of County
Commissioners ("Board") shall declare its intention to exchange real property by proper resolution;
and
WHEREAS, a hearing shall be held for the purpose of receiving objections to the proposed
exchange of real property described in a non-binding Letter ofIntent attached as Exhibit "A"; and
WHEREAS, Deschutes County intends to exchange real property with Partners in Care, a Non
Profit Corporation; now, therefore,
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF DESCHUTES
COUNTY, OREGON, as follows:
Section 1. The Board of County Commissioners of Deschutes County hereby declares its
intention to exchange real property with Partners In Care, Inc.
Section 2. The real property to be exchanged by Deschutes County is described as: Lot Five
(5) THE WOODLANDS, PHASE 1, recorded December 15, 1997, in Cabinet D, Page 554, Deschutes
County, Oregon.
Section 3. A hearing for the purpose of receiving objections to the above described land
exchange will be held at 10 a.m. on Wednesday, March 12, 2014, in the Board of County
Commissioners Hearing Room of the Deschutes County Services Building, 1300 NW Wall Street,
Bend, Oregon.
Section 4. That Deschutes County Property Management shall give notice of the time and
place for the hearing set in Section 3 of this Resolution by publication of the notice marked Exhibit
"B", attached hereto and by this reference incorporated herein, in "The Bulletin" once each week for
four consecutive weeks, with the last publication being at least seven days prior to the date of such
hearing.

LETTER OF INTENT
This agreement is between DESCHUTES COUNTY, a political subdivision of the State of Oregon
(lithe County") and Partners in tare, an Oregon Nonprofit Corporation ("Partners in Care").
1. Recitals
1.1. Exchange of Real Property. County and Partners in Care wish to exchange real
property in Bend, Oregon. Property owned by Partners in Care is at the corner of 27th
Street and Conners Avenue, and property owned by County is on Courtney Avenue.
1.2. Purpose. The purpose of this Letter of Intent is to set out the understanding between
the County and Partners in Care to accomplish the exchange of Real Property. No
obligation is created with this agreement.
1.3. Authority. The County's authority to sell or exchange real property is granted by ORS
271.310. The Partners in Care Board of Directors has authorized the execution of this
Letter of Intent by its executive director.
NOW THEREFORE, it is agreed by and between the parties hereto as follows:
2. Term. The effective date of this Letter of Intent is the date of signing by both parties. This
Letter of Intent shall expire at midnight on June 30, 2014.
3. Appraisal. An appraisal has been conducted by a certified appraiser. The value of the
County parcel is $445,000. The value of the Partners in Care parcel is $470,000.
4. Exchange Terms. County and Partners in Care will exchange the two parcels with no
additional exchange of funds. All costs associated with the exchange will be borne by
Partners in Care. The exchange is to be completed by June 30, 2014.
5. Neither party shall be obligated in any way unless and until a written Exchange Agreement
is negotiated, executed and delivered by both Parties. This letter of intent shall serve as an
outline for discussion purposes only with the terms and conditions to be included in an
Exchange Agreement to be negotiated

On Wednesday, March 12,2014, at 10 a.m. in the Board Hearing Room of the Deschutes County
Services Building, 1300 NW Wall Street, Bend, Oregon, the Board of County Commissioners of
Deschutes County will hold a hearing on an exchange of real property with Partners in Care,
Inc., a non-profit corporation.
The real property to be transferred by the above referenced parties is generally described as
follows:
Deschutes County to Partners in Care, Inc.:
Lot Five (5) THE WOODLANDS, PHASE 1, recorded December 15, 1997, in Cabinet D, Page
554, Deschutes County, Oregon.
Subject to: All easements, restrictions and right-of-ways of record and those common and
apparent on the land.
Partners in Care, INC. to Deschutes County:
Parcell of Partition Plat No. 2007-66, being a partition of Lot 1 of CARPENTER
SUBDIVISION, City of Bend, Deschutes County, Oregon
Subject to: All easements, restrictions and right-of-ways of record and those common and
apparent on the land.
