No. BACKGROUND AND POLICY IMPLICATIONS: The applicant, Caldera Springs Real Estate, bonded for improvements required as conditions of approval in prior land use decisions TP -05 -961, SP- 05 -53, SP -06 -61 SP- 06 -52, V- 06 -16, and MA -6 -23. A number of improvement agreements were implemented to accomplish this bonding. The applicant is requesting a number of changes to the current bonding. 1)Release of warranty bond for an overnight accommodation cabin. ($22,143) 2)Release of performance bonding for six constructed overnight accommodation cabins. ($1,442,: 16) 3) A new warranty bond covering these six constructed overnight accommodation cabins. ($144,231) 4)Adjustment of performance bonding to match current cost -to- complete (plus 10 %) for the remai ling 33 overnight accommodation cabins. ($8,726,011) 5)Release of Phase II infrastructure bonding. ($3,279,600) No warranty is required because the w ork has been complete for over a year. 6)Release of seven warranty bonds that were initiated on January 28, 2008 and are complete on January 28, 2008. ($1,757,545) The applicant has submitted bond and construction information from W &H Pacific. Please see the. attached memos for detailed cost information. The applicant has also requested that the County consider a new protocol with respect to bond reductions on the overnight units in the future. Because the bonds are quite expensive to carry, the applicant would like partial releases (as permitted by the improvement agreements) from time to ti ne as additional buildings are completed. It is likely that the applicant will seek bond reductions several times a year. The applicant has stated that the current process to obtain releases is expensive, time - consuming and cumbersome and proposes that the County adopt a new process for bond reductions related to the Caldera Springs overnight lodging units. FISCAL IMPLICATIONS: If construction costs remain steady or decline, the proposal for once -a -year construction estimates will likely provide sufficient evidence that the remaining bond amounts will cover the developer's obligations. If construction costs increase, it is unknown whether the 8% additional withholding will be sufficient. RECOMMENDATION & ACTION REQUESTED: Staff recommends that the Board approve and sign Document No. 2009 -042. Staff recommends the Board consider the applicant's proposed change to the bonding release protocol. It is likely that the applicant will seek bond reductions several times a year. The applicant has stated that the current process to obtain releases is expensive, time - consuming and cumbersome and proposes that the County adopt a new process for bond reductions related to the Caldera Springs overnight lodging units. The applicant has proposed the following process: When the applicant seeks a bond reduction, it would provide staff with the same information as is currently required: evidence that the applicable building(s) has /have been completed and obtained final permit sign -off from the County building department, together with a pro forma of the new bond, showing that it will provide the necessary security to warrant completed construction for one year and performance of construction for the then - incomplete buildings. The applicant would still provide a construction estimate, but the estimate would not need to be newly prepared for the particular release request so long as the existing estimate is less than one year old. In this case, the existing estimate would be inflated 8% annually, pro- rated, to cover any increase in construction costs since the last estimate. For example, if a new construction estimate is used to reduce the bonds on June 1, that estimate is good until May 31 of the following year. If the applicant wants a partial release on November 1, the release would be subject to a 4% additional holdback. In the alternative, on November 1 the applicant could provide new construction estimates which would apply to that request and would be valid for one year, again, subject to the 8% pro -rate. Under the applicant's proposal, Staff would have the ability to approve the bond reduction, assuming all documents are in order. STAFF DISCUSSION: Staff recommends the Board affirm all requested changes to the present bonding. All items have been verified by County Staff. Regarding the proposed change in bonding release protocol, Staff believes that since the Board has signed the original agreements, the Board must still sign to any changes to the bonding. Staff notes that the applicant selected an 8% inflation rate because government statistics (Producer Price Index (PPI) Residential Construction) indicate that the cost of residential construction has seen annual increases from 1987 through 2008 that range between 0 and 8 percent and average 3 percent. If the Board is interested in allowing this change in protocol, Staff suggests that the Board provide that it may, at +sits sole discretion, accept construction cost estimates under the proposed protocol, in lieu of a new construction cost estimate, for the purposes of bonding. REVIEWED LEGAL COUNSEL For Recordin• Stam• Onl CALDERA SPRINGS RESORT PARTIAL RELEASE OF IMPROVEMENT AGREEMENT BONDS Whereas, Deschutes County (the "County ") and Caldera Springs Real Estate LLC ( "CSRE ") previously entered into that certain Improvement Agreement recorded February 17, 2006 at 2006- 11382 and that certain Improvement Agreement recorded February 17, 2006 at 2006 -11381 (as amended, the "Agreements "); and Whereas, pursuant to the Agreements, CSRE provided security for the construction of the Required Improvements (as defined in the Agreements) in the form of 7 separate bonds; and Whereas, pursuant to Section 17 of the Agreement, CSRE has completed the majority of the Required Improvements and seeks to reduce the bonds to cover the remaining work and the warranty period required by Section 6 of the Agreements, and the County has agreed as provided herein; now, therefore; 1. Partial Release of Bonds. The County hereby approves a release and /or reduction of the bonds provided pursuant to the Agreements as follows: A. Bond No. 8813700. Bond No. 8813700 warrantees construction of the golf course. The golf course has been completed, and the required one -year warranty period expired on January 28, 2009. The required improvements have been inspected and accepted by the County. Accordingly, such bond may be released in the amount of One Hundred Sixty Thousand Dollars ($160,000). B. Bond No. 8835801. Bond No. 8835801 warrantees construction of the lake. The lake has been completed, and the required one -year warranty period expired on January 28, 2009. The required improvements have been inspected and accepted by the County. Accordingly, such bond may be released in the amount of Two Hundred Twenty -Eight Thousand Thirteen Dollars ($228,013). C. Bond No. 8835802. Bond No. 8835802 warrantees construction of the paths. The paths have been completed, and the required one -year warranty period expired on January 28, 2009. The required improvements have been inspected and accepted by the County. Accordingly, such bond may be released in the amount of Forty - Two Thousand Nine Hundred Twenty -Seven Dollars ($42,927). PAGE 1 OF 2 — CALDERA SPRINGS RESORT PARTIAL RELEASE OF IMPROVEMENT AGREEMENT BONDS — Deschutes County Document No. 2009 -042 herein. D. Bond No. 8835803. Bond No. 8835803 warrantees construction of the Iakehouse (formerly called the "clubhouse ") and road and utility infrastructure within the core area. The Iakehouse and all road and utility infrastructure covered by this bond has been completed and the required one -year warranty period expired on January 29, 2009. The required improvements have been inspected and accepted by the County. Accordingly, this bond may be released in the amount of Four Hundred Forty -Nine Thousand Eight Hundred Fifty -Five Dollars ($449,855). E. Bond No. 8835804. Bond No. 8835804 guarantees construction of overnight accommodations. Presently, this bond is a warranty bond in the amount of $22,143 and a completion bond in the amount of $9,499,304, for a total bond amount of Nine Million Five Hundred Twenty -One Thousand Four Hundred Forty -Seven Dollars ($9,521,447). One building is completed and the required one -year warranty period expired on January 29, 2009. The required improvements have been inspected and accepted by the County. Accordingly, this bond may be reduced in the amount of Twenty Two Thousand One Hundred Forty -Three Dollars ($22,143). Six additional buildings have been completed. The required improvements have been inspected and accepted by the County. The construction cost for these six buildings was $1,142,136. The warranty bond should be ten percent (10 %) of this amount or $114,213.60. The cost to complete the remaining buildings is estimated to be $7,932,738. The completion bond should be one hundred and ten percent (110 %) of this estimate or $8,726,011.80. Accordingly, this bond may be reduced to a warranty bond in the amount of $114,213.60 and a completion bond in the amount of $8,726,011.80, for a total bond amount of $8,840,225.40. F. Bond No. 8813698. Bond No. 8813698 warrantees construction of the roads and utilities within Phase 1 of Caldera Springs. Construction of the roads and utilities within Phase 1 of Caldera Springs has been completed and the required one -year warranty period expired on January 28, 2009. The required improvements have been inspected and accepted by the County. Accordingly, such bond may be released in the amount of Eight Hundred Twenty Eight Thousand Two Hundred Ten Dollars ($828,210). G. Bond No. 8813699. Bond No. 8813699 warrantees construction of berm and irrigation improvements within Phase 1 of Caldera Springs. Construction of the berm and irrigation improvements has been completed and the required one -year warranty period expired on January 28, 2009. The required improvements have been inspected and accepted by the County. Accordingly, such bond may be released in the amount of Forty -Eight Thousand Five Hundred Forty Dollars ($48,540). 2. Harriman Bend, OR 97701 Re: Bond Release for Caldera Springs Dear Will: Icooper @bj1Ip.com This firm represents Caldera Springs Real Estate LLC ( "CSRE "), the developer of the Caldera Springs Resort. The purpose of this letter is to request a reduction in the bonding that secures the completion of the overnight unit component of Caldera Springs. In addition, we are requesting approval of a process to streamline future release requests for overnight lodging units. Caldera Cabins Pursuant to that certain Improvement Agreement recorded February 17, 2006 at 2006 -11382 and that certain Improvement Agreement recorded February 17, 2006 at 2006 -11381 and that certain Partial Release of Improvement Agreement Bonds recorded February 26, 2008 at 2008 - 08452, the County currently holds Bond No. 8835804. The bond is currently a warranty bond in the amount of $22,143 and a completion bond in the amount of $9,521,447. As evidenced by the enclosed assessor's records (Exhibit A), Building No. 25 was completed and received its final building department permit sign -off on June 22, 2007. Because construction has been completed for more than one year and no warranty issues have arisen, we request that the warranty portion of the bond covering this unit in the amount of $22,143 be released. As evidenced by the enclosed assessor's records (Exhibit A) and shown on the enclosed spreadsheet (the "Master VOA Spreadsheet ") (Exhibit B), Building Nos. 31 -36 were all completed in 2008 and received final inspection approval. Also enclosed is a revised construction estimate from CSRE's contractor, Sun Forest, showing that the current estimated cost of completion for the remaining 33 buildings ::ODMAWCDOCSWOR'1LAND1596112\7 BALL JANIK LLP Will Groves December 31, 2008 Page 2 (with 132 units) is approximately $7,734,738 (or $234,386 per building) (Exhibit C). In addition, the Master VOA Spreadsheet (Exhibit 13) shows the estimated cost of constructing the related landscaping and parking for all units, which is estimated to be approximately $6,000 per unit. Thus, the total current estimated cost of completion for the remaining 33 buildings (with 132 units) is approximately $7,932,738 (or $240,386 per building). Accordingly, CSRE hereby requests that the bond be reduced to a total of $8,870,243.40, which represents: A warranty bond in the amount of $144,231.60 for Building Nos. 31 -36 (10% of the construction costs, meaning 10% of $240,386 multiplied by 6); plus A performance bond in the amount of $8,726,011.80 (110% of 33 buildings multiplied by $240,386 per building). Phase 2 Infrastructure As you may know, the County currently holds a bond in the amount of Three Million Two Hundred Seventy -Nine Thousand Six Hundred Dollars ($3,279,600) pursuant to the Improvement Agreement recorded April 20, 2006 in the real property records of Deschutes County, Oregon at 2006 - 27329. The bond assures completion of the roads and utility improvements required for Phase 2 of Caldera Springs and identified in Exhibit A to the Improvement Agreement. As confirmed in the enclosed letter from the project engineer, Jim Frost of WHPacific (Exhibit D), the roads and utilities for Phase 2 were substantially completed in June of 2007 with all punchlist items completed by July 31, 2007. The bond has been in place for more than one year from the completion date of all of the required improvements. By its very terms, the bond included warranty coverage: NOW, THEREFORE, THE CONDITIONS OF THE ABOVE OBLIGATION IS SUCH, that if the Principal shall promptly and faithfully complete the Improvements in accordance with the requirements of the Improvement Agreement and truly and faithfully performs its duties, all the undertakings, covenants, terms, conditions, and agreements of said Improvements Agreement during the term thereof and any extensions thereof, with or without notice to the Surety, and during the one year warranty period...." Section 17 of the Improvement Agreement states: After the Required Improvements have been inspected and approved by the County Community Development Department, ::ODMA\PCDOCS\'ORTLAND159511217 BALL JANIK LLP Will Groves December 31, 2008 Page 3 County shall release the Developer's security, provided Developer has procured the warranty security required pursuant to Paragraph 6 of this Agreement. Because the Phase 2 roads and utilities have been completed for more than a year and covered by the warranty provision of the bond for at least a year, the terms of the Improvement Agreement are satisfied with respect to these improvements, and CSRE respectfully requests that the County release Bond No. 8835861, which has been the security for these improvements. Resort and Phase 1 Improvement/Warranty Bonds Pursuant to "Caldera Springs Resort Partial Release of Improvement Agreement Bonds, Deschutes County No. 2008 - 042," approved by the Board of Commissioners on January 28, 2008, recorded February 26, 2008 at 2008- 08452, the County currently holds the following bonds: 1 Warranty Bond No. 8813700, covering the one -year warranty on the golf course, ($160,000); 2. Warranty Bond No. 8835801, covering the one -year warranty on the lake, ($228,013); 3. Warranty Bond No. 8835802, covering the one -year warranty on the paths, ($42,927); 4. Bond No. 8835803, a portion of which ($436,055) covers the one -year warranty on the lakehouse and the core area road and utility infrastructure; and the remainder of which ($13,800) covers the possible need to install 700 lineal feet of additional overlay on the core area loop road'; 5. Bond No. 8835804, a portion of which ($22,143) covers the one -year warranty on the first of the four - unit "Visitor Overnight Accommodations" buildings (Building No. 25, as discussed above); and the remainder of which ($9,499,304.20) covers completion of the remaining 39 four -unit buildings; 6. Warranty Bond No. 8813698, covering the roads and utilities within Phase 1 of Caldera Springs, ($828,210); and 7. Warranty Bond No. 8813699, covering the one -year warranty on the berm and irrigation improvements within Phase 1 of Caldera Springs, ($48,540). 1 We note that no such additional overlay was necessary. Thus far, no issues have arisen with respect to any of these improvements. Assuming that none occur between now and January 28, 2009, we hereby request a release of the warranty bonds described above, as of January 28, 2009, the date on which the one -year warranty period expires. Future Releases Finally, we request that the County consider a new protocol with respect to bond reductions on the overnight units in the future. As you know, CSRE continues to make steady progress in the construction of the overnight units. Because the bonds are quite expensive to carry, it is advisable to seek partial releases (as permitted by the improvement agreements) from time to time as additional buildings are completed. As CSRE continues to complete these buildings on a rolling basis, it is likely that it will seek bond reductions several times a year. However, the current process to obtain releases is expensive, time- consuming and cumbersome. For that reason, we propose that the County adopt a new process for bond reductions related to the Caldera Springs overnight lodging units. When CSRE seeks a bond reduction, it would provide staff with the same information as is currently required: evidence that the applicable building(s) has/have been completed and obtained final permit sign -off from the County building department, together with a pro forma of the new bond, showing that it will provide the necessary security to warrant completed construction for one year and performance of construction for the then - incomplete buildings. CSRE would still provide a construction estimate, but the estimate would not need to be newly prepared for the particular release request so long as the estimate is less than one year old .2 Assuming that all of these documents are in order, staff would have the ability to approve the bond reduction. For your convenience, 1 enclose a map (Exhibit E) that shows the location of all of the Cabins (1 -45) and identifies those that are completed (25, 31-36), those that are under construction (24, 26 -30 and 44 -45) and those for which building permits have been obtained (37 -43). We believe that the proposed revisions to the current process are fair and protect the interests of the County, while recognizing the reality of the significant time and cost involved in the current system. 2 You will note from the last page (C -6) of Exhibit C that the estimated cost of construction for the Cabins actually decreased from 2007 to 2008 from 8213,086 to 8200,179. The total estimate number (which includes "overhead and fee ") increased from 8215,216 to $220,197 (an increase of 2.3 %) only because Sun Forest in 2007 misplaced a decimal and used one percent (1 %) for "overhead and fee" and should have used ten percent (10 %). This was corrected in their 2008 estimate. When this number is adjusted to reflect the correct 10% overhead and fee, the difference in estimate from 2007 to 2008 would be a decrease of six percent (6 %) or $14,197.60. ::ODMA\PCD0051PORTLAND1596112\7 BALL JANIK LLP Will Groves December 31, 2008 Page 5 Thank you for your assistance. Based on this data, the Phase 2 construction was substantially complete by June 25, 2007. By this date, the water, sewer, utilities, base rook, and paving were complete. Performance testing of the water main, sewer main, and associated compaction testing was completed and acceptable. The paving was completed June 18, 2007. . There were a few minor cleanup punchlist items to finish in July, but the construction was acceptable and substantially complete by June 25, 2007.
