No. BACKGROUND AND POLICY IMPLICATIONS: This agreement with the University of Hawaii is to provide public health nursing services to The Western States Genetic Collaborative. This Collaborative is focused on improving access to genetic services for children with suspected or confirmed metabolic or genetic conditions and congenital malformations. This agreement continues the third year of a grant to provide telemedicine consultation to families in our area. The University of Hawaii began a new grant cycle this year so the agreement was delayed by the Federal budget process. A Public Health nurse via telemedicine provides the services at the Health Department to the Child Development and Rehabilitation Center (CDRC) at the Oregon Health & Science University in Portland, Oregon. The Public Health nurse will collect records, develop a care plan based on consultation and coordinate services for the family. The funding has been reduced to reflect the reduced availability of the Child Development and Rehabilitation Center (CDRC) Genetics Department to hold these clinics. Starting Date: August 16, 2007 Ending Date: May 31, 2008 Total Value: $10,000 FISCAL IMPLICATIONS: The budgeted amount was $11,000 but the contract has been reduced to $10,000 which will be the actual cost of service. The Health Department shall be reimbursed for expenses incurred by the project on a monthly or quarterly basis. WITNESSETH THAT: WHEREAS, the Project and the Funding Agency are parties to Project Number 006627, entitled "Western States Regional Genetic Services Collaborative", a copy of which is attached hereto as Attachment 1 and by reference made a part hereof; and WHEREAS, the Project has requested RCUH to provide administrative services for their benefit in support of the Grant/Contract referenced above, in accordance with the Internal Agreement between UH and RCUH, and WHEREAS, RCUH for the benefit of the Project and the Principal Investigator of said grant/contract will provide financial support to the SUBCONTRACTOR to provide the Services detailed in the Statement of Work attached hereto as Attachment 2; and WHEREAS, RCUH desires to compensate the SUBCONTRACTOR for their Subcontract work in accordance with the applicable budget attached hereto as Attachment 3 and by reference made a part hereof; NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter contained, the parties hereto agree: 1. The SUBCONTRACTOR agrees to perform the necessary services for the implementation and completion of that portion of the contract above referred to as relates to the Project. 2. The SUBCONTRACTOR agrees to conform to all federal rules and regulations that may apply to the conduct and performance of this Agreement. 3. Period of Agreement and Amount: The period of performance of this Agreement shall be August 16, 2007 through May 31, 2008. The Project Budget, which is attached hereto as Attachment 3 and made a part hereof by reference, provides that expenditures from monies to be provided by RCUH pursuant to this Agreement shall not exceed the total amount of TEN THOUSAND and No/100 Dollars ($10,000.00). 4. Method of Payment: RCUH shall reimburse the SUBCONTRACTOR for expenses incurred by the project on a monthly or quarterly basis. Such reimbursement will be made in accordance with the submission or completion of required deliverables, monthly billings prepared and submitted by the SUBCONTRACTOR, broken down by expense categories reflected in the budget, and must be consistent with the rules and regulations contained in Attachment 1 of this subcontract. Failure to submit invoices on a timely basis may result in delayed reimbursement. RCUH may withhold reirnbursement payments if CC quarterly financial reports are not submitted on a timely basis or if reported cost sharing data is not current or proportional to the annual estimated obligation. 5. Audit Requirements: The provisions of Office of Management and Budget (OMB) Circular A-133, "Audits of Institutions of Higher Learning and Other Nonprofit Institutions," apply to this contract. The SUBCONTRACTOR agrees to submit a copy of its annual A-133 audit and corrective actions to RCUH within one month of completion and release of the audit report. Failure to submit the audit report and corrective actions may result in delayed reimbursement to SUBCONTRACTOR for costs incurred under the contract. 6. Examination of Records: The SUBCONTRACTOR agrees that the U.S. Comptroller General, University of Hawaii, RCUH, or any of their duly authorized representatives shall have access to, and the right to inspect or audit any directly pertinent books, documents, papers and records of the SUBCONTRACTOR involving transactions related to this Agreement during regular business hours provided reasonable notice is given by RCUH. 7. Termination: Each party shall have the privilege, with or without cause, to cancel or annul this Agreement at any time upon written notice given thirty (30) days in advance of such termination. 8. Disallowed Costs: The SUBCONTRACTOR shall be responsible for reimbursement to the prime SUBCONTRACTOR, UH, a sum of money equivalent to the amount of any expenditures disallowed should the funding agency or an authorized agency rule through audit exception or some other appropriate means that expenditures from funds allocated to the SUBCONTRACTOR for direct and/or indirect costs were not made in compliance with the applicable cost principles, regulation of the funding agency, or the provisions of this Subcontract. 9. Disputes: Any disputes concerning a matter of fact arising under this Agreement, which is not disposed of by mutual agreement within thirty (30) calendar days, shall be determined by the Executive Director of RCUH, or said Executive Director's designated representative who shall reduce the decision to writing and mail or otherwise furnish a copy of the decision to the SUBCONTRACTOR. Pending final decision of such a dispute, the SUBCONTRACTOR shall proceed diligently with the performance of services under this Agreement in accordance with RCUH's request. 10. Federal Funds: If this Agreement is payable in whole or in part from federal funds, the SUBCONTRACTOR agrees that, as to the portion of the compensation under this Agreement to be payable from federal funds, the SUBCONTRACTOR shall be paid only from such federal funds received from the federal government, and shall not be paid from any other funds. 11. Ownership Rights and Copyright. RCUH and Children's Hospital and Regional Medical Center shall have joint ownership of all material, both finished and unfinished, which is developed, prepared, assembled, or conceived by the SUBCONTRACTOR pursuant to this Agreement, and all such material shall be considered "works made for hire". Copies of all such material shall be delivered to the RCUH upon expiration or termination of this Agreement. 12. Indemnification and Defense: Each party in accordance with state law, shall defend, indemnify, and hold harmless its officers, employees, and agents from and against all liability, loss, damage, cost, and expense, including all attorneys' fees, and all claims, suits, and demands thereof, arising out of or under this Agreement. The provisions of this paragraph shall remain in full force and effect notwithstanding the expiration or early termination of this Agreement. 2 13. Modifications of Agreement: Any modification, alteration, amendment, change, or extension of any term, provision, or condition of this Agreement shall be made only by written amendments to this Agreement, signed by both the SUBCONTRACTOR and RCUH. 14. Relationship of Parties; Independent SUBCONTRACTOR Status and Responsibilities: a. In the performance of services, or delivery of goods, or both, required under this Agreement, the SUBCONTRACTOR is an "independent SUBCONTRACTOR," with the authority and responsibility to control and direct the performance and details of the work and services required under this Agreement; however, RCUH shall have a general right to inspect work in progress to determine whether, in RCUH's opinion, the services are being performed or the goods are being provided, or both, by SUBCONTRACTOR. b. The SUBCONTRACTOR and the SUBCONTRACTOR's employees and agents are not by reason of this Agreement, agents or employees of RCUH for any purpose, and the SUBCONTRACTOR and the SUBCONTRACTOR's employees and agents shall not be entitled to claim or receive from RCUH any vacation, sick leave, retirement, workers' compensation, unemployment insurance, or other benefits provided to RCUH employees. c. The SUBCONTRACTOR shall be responsible for the accuracy, completeness, and adequacy of its performance under this Agreement. Furthermore, the SUBCONTRACTOR intentionally, voluntarily, and knowingly assumes the sole and entire liability to the SUBCONTRACTOR's employees and agents, and to any individual not a party to this Agreement, for all loss, damage, or injury caused by the SUBCONTRACTOR, or the SUBCONTRACTOR's employees or agents in the course of their employment. d. The SUBCONTRACTOR shall be responsible for payment of all applicable federal, state, and county taxes and fees which may become due and owing by the SUBCONTRACTOR by reason of this Agreement, including but not limited to (i) income taxes, (ii) employment related fees, assessments, and taxes, and (iii) general excise taxes. The SUBCONTRACTOR is responsible for obtaining all licenses, permits, and certificates that may be required in order to perform the Agreement. e. The SUBCONTRACTOR is responsible for securing all employee-related insurance coverage for the SUBCONTRACTOR and the SUBCONTRACTOR's employees and agents that is or may be required by law, and for payment of all premiums, costs, and other liabilities associated with securing the insurance coverage. 15. General Conditions: The terms, conditions, provisions, and special requirements of the Prime Grant/Contract will apply to this Agreement and are attached hereto as Attachment 1 and made a part hereof by reference. 16. Standards of Conduct Declaration. The Standards of Conduct Declaration by SUBCONTRACTOR, set forth in Attachment 4, is hereby made a part of this Agreement. 17. Federal Provisions. If federal grant or contract funds are expended under this contract, the SUBCONTRACTOR shall comply with the applicable provisions of Attachment 32a. 18. Peddycod Title: Director Date: l— —D'g THE RESEARCH CORPORATION OF THE UNIVERSITY OF HAWAII Date: 4 Attachment 1 for Sub -Contracts PROJECT AGREEMENT FOR ADMINISTRATIVE SERVICES BETWEEN THE STATE OF HAWAII DEPARTMENT OF HEALTH AND THE RESEARCH CORPORATION OF THE UNIVERSITY OF HAWAII This Project Agreement, effective August 16, 2007 from the STATE OF HAWAII, DEPARTMENT OF HEALTH (hereinafter referred to as "DOH"), is entered into between DOM by its Director of Health (hereinafter referred to as "DIRECTOR") and the RESEARCH CORPORATION OF THE UNIVERSITY OF HAWAII, (hereinafter referred to as "RCUH") pursuant to the Master Agreement between the State of Hawaii and RCUH dated April 17, 1995, (hereinafter referred to as the "Master Agreement") and the First Amendment to Master Agreement between the State of Hawaii and RCUH dated June 1999 (hereinafter referred to as the "First Amendment to Master Agreement"). WITNESSETH: A. The DOH is in need of the administrative services described in this Project Agreement and its attachments, and has provided the justification and reasons for using the services of RCUH, as required by the Master Agreement section 2, and as shown in Attachment A which is attached to and hereby made a part of this Project Agreement. B. The DOH desires to retain and engage the RCUH to provide the administrative services. and the RCUH is agreeable to providing said services. NOW, THEREFORE, the DOH and the RCUH agree as follows: 1. Scope of Services. The RCUH shall, in a proper and satisfactory manner as determined by the DOH, provide administrative services as described in the Master Agreement section 5 to support the project being conducted by the DOH which is described in Attachment 1, and which is attached to and hereby made a part of this Project Agreement. The services required of the RCUH under this Project Agreement shall be performed and completed in accordance with the "Time Schedule" set forth in Attachment 2, which is attached to and hereby made a part of this Project Agreement. 3. Compensation. The RCUH shall be compensated for services rendered and costs incurred under this Project Agreement. 4. DOH Liaison. The designated individual to be principal liaison between the RCUH and the DOH is Sylvia Au, M.S., representing the DOH as the Principal Investigator (P1). 5. Relationship. For the purposes of this project described in Attachment 1, RCUH is acting as an agent of the DOH and not as principal. 6. Program Revenue. The project as described in Attachment 1 does not include collection of program revenues or user fees for and on behalf of the State of Hawaii. 7. Termination. This Project Agreement may be terminated under the terms and conditions of section 18 of the Master Agreement. In addition, this Project Agreement shall be valid until terminated without cause by either party by giving the other party 60 days written advance notice, specifying the effective date of the termination. 8. Applicability. Except as provided in paragraph 10, below, this Project Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes any and all prior understandings and agreements, oral and/or written, relating hereto. 9. Amendment. This Project Agreement may be amended at any time only by written mutual agreement of the parties hereto. 10. Special Conditions. If this Project Agreement is terminated with cause or without cause or at the scheduled expiration of the time of performance specified in this Agreement, all ADM. SERV. OFFICE 2 LOG NO. 08-149 Attachment 1 for Sub -Contracts equipment and unused supplies and materials leased or purchased with funds paid to RCUH under this Agreement shall become the property of the DOH as it so specifies and shall be disposed of as directed by the DOH, except, if applicable, as otherwise may be provided under the Federal Grant. 11. Other Terms and Conditions. The Master Agreement of General Terms and Conditions, dated April 17, 1995 and the First Amendment to Master Agreement dated June 1999, by and between the State of Hawaii and the RCUH are hereby made a part of this Agreement. In the event of a conflict between this Project Agreement and the Master Agreement, the Master Agreement as amended by the First Amendment to Master Agreement, shall prevail. OFFICE 3 LOG NO. 08-149 Attachment 1 for Sub -Contracts Attachment 1 SCOPE OF SERVICES The parties hereto mutually agree, subject to and in accordance with the terms and conditions of the Master Agreement dated April 17, 1995, and the First Amendment to Master Agreement dated June 1999, both of which are by reference made a part hereof, that the RCUH shall provide administrative services and employ staff to coordinate and support the DOH's Western States Genetic Services Collaborative Project as follows: a. Plan, develop, test and evaluate practice protocols to improve access to genetic services for children with suspected or confirmed metabolic conditions or suspected or confirmed genetic conditions and congenital malformations. Protocols must include services that can be provided by new technology such as telemedicine. Activities include: (1) Conducting literature searches and collecting existing protocols and information related to regional provision of genetic services; (2) Developing plan(s) based on information obtained; (3) Seeking technical assistance from local and national consultants on plan; (4) Developing evaluation tools; (5) Implementing protocol and evaluation methods; and (6) Analyzing and reporting data obtained. b. Plan develop, test and evaluate practice protocols to improve access to comprehensive primary care for children with heritable conditions and public health nurse care coordination services for children with heritable conditions. Activities include: ADM. SERV. OFFICE 4 LOG NO. 08-149 Attachment 1 for Sub -Contracts (1) Conducting literature searches and collecting existing information related to improving access to primary care providers and public health nursing coordination; (2) Developing plan(s) based on information obtained; (3) Seeking technical assistance from local and national consultants on plan; (4) Developing evaluation tools; (5) Implementing protocol and evaluation methods; and (6) Analyzing and reporting data obtained. c. Establish a data collection and reporting system to catalog the information obtained by: (1) Maintaining the data collection system for existing and new data; (2) Providing data access data to project participants and consultants using web -based applications; and (3) Developing and disseminating a report of the data findings to the project participants and via the project website. d. Research third -party reimbursement for genetic services by: (1) Tracking third -party reimbursements for genetic services including telemedicine services; (2) Analyze data; (3) Develop plan to maximize third -party reimbursement; and (4) Report on findings. e. Assist states and Guam to assess and improve genetic and newborn screening services within their state or territory. Activities include: ADM. SERV. Develop accurate, culturally appropriate, translated, and understandable genetics and newborn screening educational activities and material. g. Develop and maintain collaborative efforts among the participating states and territory (Hawaii, Oregon, California, Washington, Alaska, Idaho, and Guam) in the project by: (1) Developing mechanisms to foster the collaborative efforts among the region's genetic specialists, families, primary care providers, state genetic programs, state newborn screening programs, Children with Special Health Care Needs (CSHCN) programs, and others to complete the collaborative's activities (2) Creating a website for the project that includes mechanisms to post draft documents, communicate among the participants, and allow the general public to comment on activities; (3) Arranging conference calls, advisory committee and work group meetings; (4) Developing mailing lists, e-mail lists, and list services to facilitate communication among the project participants; and (5) Developing project work groups as determined by the project advisory committee. RCUH shall provide the services required under this Project Agreement from August 16, 2007, to and including May 31, 2008, unless this Project Agreement is extended or sooner terminated as hereinafter provided. 2. This Project Agreement may be extended subject to the receipt of additional Federal funds for the project. ADM. SERV. OFFICE 7 LOG NO. 08-149 Attachment 1 for Sub -Contracts Attachment A JUSTIFICATION AND REASONS FOR USING RCUH FOR ADMINISTRATIVE SERVICES 1. The DOH has determined that the Project is of an intellectual level generally conducted by the University of Hawaii, and is appropriate for university -level research, as follows: a. The project requires literature searches, review of professional and lay person sources, and formulative research for planning, implementation and evaluation of protocols for regional collaboration for the provision of genetic services and education. b. The project requires professional assistance to develop research protocols and methodology, educational materials and activities development, and evaluation criteria and methods. c. The project requires research and collaboration among health professionals in seven states and one territory (Hawaii, Oregon, California, Washington, Alaska, Idaho, and Guam). 2. The DOH has determined that the scientific investigation and/or research, which is the subject of the project is beyond the existing capacity of the DOH, as follows: a. DOH does not have the qualified or experienced staff to fill all the project positions in the broad range of states and territory participating in the project. b. To complete the project activities, the DOH program manager (State Genetics Coordinator) requires professional assistance from individuals from the public health and healthcare organizations, academic institutions, and the private sector ADM. SERV. OFFICE 8 LOG NO. 08-149 Attachment 1 for Sub -Contracts in the collaborating states and territory. These individuals possess skills and expertise necessary to complete the research activities of this project. 3. The DOH has determined that contracting with RCUH to provide the services required for the project is more efficient than performing the services required for the project directly through a contract with the private sector, as follows: a. The project involves technical and research -related procurement complexities including contracting personnel and administration of activities among the seven states and territory, allowing personnel from the region to attend meetings with the federal government funding agency and key state personnel, and completing purchases and contracts with mainland -based companies. Flexibility is required in order to proceed with and complete the project activities in a timely manner. b. There are no private sector providers who can carry out the same or similar activities in Hawaii or elsewhere because the research is based in the public health program of each state and territory. c. Assist in identifying families that may benefit from genetics or metabolic telemedicine visits and coordinate referrals for telemedicine visits. 2. Assess family needs for assistance prior, during, and after the telemedicine visit. 3. Coordinate with OHSU and family to set up visit with appropriate specialists for Telemedicine visit. 4. Coordinate logistics for originating site (Deschutes County) of telemedicine visit including reserving videoconference equipment. 5. Educate family about what to expect at the telemedicine visit. 6. Attend telemedicine visits and when needed: • Assist family with telemedicine visit paperwork and ensure it is returned to the appropriate provider. • Weigh, measure, and take vital signs of patient. • Assist specialist on remote site with physical exam. • Assist dietician with nutrition education activities. • Assist family with implementing recommendations from telemedicine visit, e.g. follow-up appointment with primary care provider, laboratory studies, changes in nutrition plan or health plan, referrals to other specialists, etc. Facilitate connection with community resources. • Assure recommendations are coordinated with the other services the child is receiving. 7. Offer CaCoon services to eligible families not already receiving CaCoon services. 8. Complete post visit "on-site facilitator" evaluation for each patient. 9. Provide input to project staff about how telemedicine services can be improved. 5 Attachment 3 Budget Public Health Nurse's time at a rate of up to $50/hour inclusive of benefits and up to 10% indirect costs. ANTI -LOBBYING. If this purchase is more than $100,000, the contractor/subcontractor/vendor shall certify that it will not or has not used Federal appropriated funds to pay any person or organization for influencing or attempting to influence an officer or employee or any agency, a member of Congress, officer or employee or Congress, or an employee of a member of Congress in connection with obtaining any Federal contract, grant or any other award covered by the Byrd Anti -Lobbying Amendment (31 U.S.C.1352).
