DATE: July 17, 2008 FROM: Paul Blikstad Department CDD Phone # 6554 TITLE OF AGENDA ITEM: Consideration of a verbal motion by the Board to authorize Planning staff to write a memo to the County Clerk's Office requesting release of the Pronghorn bond for the Improvement Agreement for restaurant, meeting rooms, golf pro shop and overnight lodging, as well as authorizing Planning staff to release the bond to Pronghorn. PUBLIC HEARING ON THIS DATE? No BACKGROUND AND POLICY IMPLICATIONS: Pronghorn placed this bond with the County, together with the Improvement Agreement, to assure the visitor -oriented accommodations required under the Deschutes County Code for destination resorts. This bond and improvement agreement allowed the developer to sell lots ahead of the improvements being constructed. FISCAL IMPLICATIONS: None for the County. The bond is for $5,552,250.00. RECOMMENDATION & ACTION REQUESTED: Board verbal motion (authorization) to allow Planning staff to write a memorandum to the Clerk requesting release of the subject bond, and allowing staff to release the Bond to Pronghorn. As you may know, the County currently holds a bond (the "Bond") in the amount of Five Million Five Hundred Fifty -Two Thousand Two Hundred Dollars ($5,552,250) pursuant to the Improvement Agreement recorded December 6, 2002 in the real property records of Deschutes County, Oregon at 2002-68693 (the "Improvement Agreement"). The Bond assures completion of "the lodge with restaurant, meeting rooms and golf pro shop together with the first fifty units of overnight lodging for visitors," the so-called "Meeting Improvements." The lodge with restaurant, meeting rooms and golf pro shop were constructed as the clubhouse. The first 48 overnight lodging units were constructed as six 8 -unit buildings. Four of these buildings are timeshare condominium buildings known as the Residence Club. The remaining two, which were originally intended to be part of the Residence Club, were subsequently converted to deed -restricted condominiums pursuant to MC -08-5. 01 As evidenced by the enclosed Deschutes County inspection records, the _ 19-1._—p Clubhouse received final approval April 4, 2007. However, these two units are a part of the improvements secured by the funds held by the County as security pursuant to that certain Amendment to Improvement ::ODM A\PCDOCS\PORTLAND\619223\ I BALL JANIK LLP Paul Blikstad December 27, 2007 Page 2 Agreement recorded in the real property records of Deschutes County, Oregon on May 21, 2008 at 2008-22062. Thus there is no longer a need for these two units to be covered by the Bond. The Bond has been in place for more than one year from the completion date of all of the required improvements. By its very terms, it included warranty coverage: NOW, THEREFORE, THE CONDITIONS OF THE ABOVE OBLIGATION IS SUCH, that if the Principal shall promptly and faithfully complete the Improvements in accordance with the requirements of the Improvement Agreement and truly and faithfully performs its duties, al] the undertakings, covenants, terms, conditions, and agreements of said Improvements Agreement during the term thereof and any extensions thereof, with or without notice to the Surety, and during the one year warranty period...." Pursuant to Section 19 of the Improvement Agreement, we request release of the Bond. Except for two overnight lodging units, which are now secured pursuant to the recent Amendment to Improvement Agreement, the Meeting Improvements have been completed and accepted for more than one year. They were covered by the warranty of the original Bond for more than the required one-year period. Please let me know if you need any additional information.
